Finland's standard seed financing documents, published by the Startup Foundation and prepared by Castrén & Snellman with input from Finnish VCs. Version 4.0 (May 2026) includes the term sheet, the investment agreement and the shareholders' agreement, with commented versions of the last two that explain each clause. It introduces a three-tier leaver regime, company-first warranty liability with founder liability capped at 30 percent of the investment, and sanctions and AML provisions.
